By creating an account, accessing, or using BriefHQ (accessible at briefhq.com and associated subdomains), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a law firm, corporation, or partnership, you represent that you possess the legal authority to bind that entity.

2. Software Services & Intended Use

BriefHQ provides proprietary artificial intelligence software that parses, indexes, analyzes, and cross-references complex PDF contracts, leases, briefs, and legal exhibits.

You acknowledge that artificial intelligence outputs may occasionally produce inaccurate, incomplete, or hallucinated representations. BriefHQ provides side-by-side page and line citations precisely so that qualified attorneys and legal staff can quickly verify every assertion against the original source document.

3. Subscription Plans, Billing & Cancellation

• Transparent Flat Pricing: BriefHQ operates on a flat subscription model ($99/month, or as otherwise designated on our active pricing schedule), with zero minimum seat requirements and zero enterprise lock-in contracts.
• Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual basis. Payment processing is facilitated through PCI-compliant third-party processors.
• Cancellation Anytime: You may cancel your subscription at any time directly through your billing settings. Upon cancellation, your access remains active until the end of your current paid billing period, with no subsequent renewals.
• Refund Policy: We offer a 14-day money-back guarantee for first-time subscribers who are unsatisfied with the tool.

4. Customer Intellectual Property & Ownership

You own your work product. You retain all right, title, and interest (including all copyright, trade secret, and other proprietary rights) in and to all documents, contracts, drafts, notes, and prompts submitted to BriefHQ ("Customer Content"), as well as all resulting summaries and analysis produced for you.

BriefHQ asserts no ownership claim over your files. As detailed in our Privacy Policy, your uploaded content is never used to train generalized frontier AI models or shared with other customers.

5. Acceptable Use Policy

You agree not to use the Service to:

• Engage in unauthorized practice of law (UPL) in any jurisdiction where prohibited;
• Upload documents containing illegal materials, malicious software, or content that violates third-party rights;
• Attempt to reverse engineer, decompile, crawl, or scrape BriefHQ's proprietary algorithms and user interface;
• Circumvent rate limits, access controls, authentication security, or tenancy isolation boundaries;
• Resell, white-label, or sublease access to third parties without prior written authorization.

6. Warranties and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR LEGAL PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR-FREE OR ACCURATE UNDER ALL JURISDICTIONAL LEGAL CODES.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRIEFHQ INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LEGAL MALPRACTICE CLAIMS ARISING FROM UNVERIFIED CITATIONS), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO BRIEFHQ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law. Any legal proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in the United States.
